This is reviewer material, not final legal wording. It prepares the service boundary that customers must accept before paid work starts.

Scope

PrepPort performs only approved work orders, quotes, ASNs, QC requests, fulfillment orders, sourcing RFQs, or owner-approved instructions.

Included workflows

  • Supplier-side receiving and inspection
  • FBA prep, labeling, packaging, bundling, kitting, and storage
  • Shopify/DTC, marketplace, sample, wholesale, and manual fulfillment
  • Product sourcing RFQ, sample coordination, and procurement support
  • Customer portal, API, webhook, and support ticket status workflows

Customer responsibility

  • Product compliance, marketplace compliance, import/export obligations, sales-channel listing claims, taxes, duties, and destination restrictions
  • Accurate SKU, barcode, label, packaging, carton, address, supplier, and order data
  • Authority to use brands, trademarks, artwork, labels, and product claims supplied to PrepPort

PrepPort responsibility

  • Execute approved work according to recorded instructions
  • Keep operational evidence such as photos, scans, counts, timestamps, and exception notes
  • Escalate unclear, high-risk, unpaid, or unauthorized work before release

Clauses to review

These clauses need legal/owner decisions before publication.

Commercial clauses

  • Quote validity, estimate assumptions, third-party cost exclusions, and out-of-scope charges
  • Payment-before-work rule for procurement, postage, packaging, and release
  • Inventory hold, abandoned goods, lien, disposal, storage fee, and transfer-out rules
  • Refund, dispute, chargeback, compensation, and notice process

Risk clauses

  • Liability cap by service type and insurance option
  • Carrier delay, customs hold, platform/API failure, supplier delay, incorrect customer data, and force majeure
  • QC evidence is operational evidence, not a product-safety, customs, supplier, marketplace, or legal guarantee
  • Right to reject, hold, pause, or request documents for prohibited, high-risk, unpaid, or authorization-sensitive goods

Consumer rights guard

  • Final wording must not exclude statutory or non-excludable rights that apply to the customer relationship.
  • Refund, compensation, warranty, and liability language must be reviewed against the target jurisdiction before publication.
  • SLA and timeline language should stay as target wording unless the final agreement defines exact remedies and exceptions.

Publish gate

Do not link as final customer terms until every gate is recorded.

Legal decision

Liability cap, governing law, dispute venue, storage lien, disposal, notice period, and abandoned-goods wording approved.

Customer flow

Customer portal stores accepted version/date, customer account, signatory, and service scope before paid work.

Evidence

Record sanitized launch evidence for legal_policy_review; do not store legal advice or private reviewer comments in reports.
